End-User License Agreement

Team IT ERPNext Migration Utility · Effective 30 August 2026

This End-User License Agreement (the “Agreement”) is entered into between Team I.T. LLC, a Colorado limited liability company (“Team IT”, “we”, “us”), and the client engaging Team IT for accounting-data migration services (“Customer”, “you”). It governs your authorization and use of the Team IT ERPNext Migration Utility (the “Utility”).

1. Purpose and nature of the Utility

The Utility is a consultant-operated, internal tool used by authorized Team IT personnel to support a QuickBooks Online (“QBO”) to ERPNext migration engagement. It connects to a Customer’s QBO company only after the Customer explicitly authorizes access through Intuit’s standard OAuth consent flow, extracts the Customer’s accounting data, and assists Team IT in loading and reconciling that data in ERPNext.

The Utility is provided solely in connection with migration, reconciliation, and support services performed by Team IT for the Customer. It is not offered as a standalone product, a public software-as-a-service application, or a self-service tool.

2. License grant

Subject to this Agreement, Team IT grants the Customer a limited, non-exclusive, non-transferable, revocable right to have the Utility operated by Team IT on the Customer’s behalf for the duration of the migration engagement. No source code, copy, or installation of the Utility is delivered to the Customer.

3. Customer authorization

By connecting a QBO company to the Utility, or by directing Team IT to do so, the Customer represents that it is authorized to grant access to that QBO company and its data, and authorizes Team IT to access, extract, store, process, and transfer that data for the purposes of the engagement as described in this Agreement and in the Privacy Policy.

4. Customer responsibilities

5. No warranty of error-free migration

Accounting-data migration involves interpretation, mapping, and transformation between two different systems. Team IT performs the migration with reasonable professional care, but does not guarantee that migrated data is complete, accurate, or error-free without Customer review. The Utility and the migration results are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

6. Limitation of liability

To the fullest extent permitted by law, Team IT will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Utility or the migration, regardless of the theory of liability. Team IT’s total aggregate liability arising out of or related to the Utility and the migration engagement will not exceed the fees paid by the Customer to Team IT for the migration engagement giving rise to the claim.

7. Permitted use

The Utility may be used only for the Customer’s own migration engagement with Team IT. The Customer may not resell, sublicense, or make the Utility available to any third party, and nothing in this Agreement implies any right to operate the Utility as a public or commercial SaaS offering.

8. Term and termination

This Agreement applies for the duration of the migration engagement. The Customer may revoke the Utility’s access to its QBO data at any time through Intuit / QuickBooks Online app permissions, or by asking Team IT to disconnect. Upon completion of the engagement or revocation of access, Team IT will cease using the Utility to access the Customer’s QBO data and will handle any retained data as described in the Privacy Policy.

9. Governing law

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules.
